| معاملات انحصاری بهعنوان یکی از مهمترین تحدیدات عمودی با ویژگیهای خاص، تأثیرات قابل توجهی بر رقابت و رفاه مصرفکنندگان در بازارهای محصولات، فنّاوری و نوآوری دارند. این رویههای محدود کننده، به دلیل پیامدهای ضد رقابتی ازجمله موضوعات چالشبرانگیز در حوزه حقوق رقابت به شمار میروند. ازاینرو، این نوشتار در جستجوی پاسخ به این پرسش است که آیا معاملات انحصاری لزوماً ناقض حقوق رقابت است یا متضمن پیامدهای مطلوب اقتصادی و رقابتی است. در مقاله حاضر تلاش شده است تا با روش توصیفی و تحلیلی، با مطالعه رهیافتهای حقوقی آمریکا و اتحادیه اروپا ضمن تبیین جایگاه معاملات انحصاری در روابط غیررقبا در سه بازار محصولات، فنّاوری و نوآوری، موضع حقوق رقابت ایران مورد نقد و بررسی قرار گیرد. یافتههای حاصل از مطالعه تطبیقی نشان میدهد این رویه محدود کننده در حقوق رقابت ایالاتمتحده و اتحادیه اروپا متناسب با وضعیت نوین در حوزه نوآوری و فنّاوری به موجب ضوابطی معین ارزیابی میشود و اصولاً قاعده معقولیت بهعنوان معیار ارزیابی این تحدیدات اعمال شده و قاعده ممنوعیت مطلق تنها-در موارد استثنایی و در صورتی که معاملات انحصاری شدیداً مخل رقابت باشند، مورد ملاک قرار میگیرد. در برابر، در حقوق رقابت ایران، به صراحت اشارهای به معاملات انحصاری نشده است و ابعاد این تحدیدات مبهم است لیکن میتوان این تحدیدات را از چند بند ماده 45 قانون اجرای سیاستهای کلی اصل چهل و چهارم قانون اساسی مصوب ۲۵/۰۳/۱۳۸۷ به اجمال استنباط کرد. لذا اصلاح مقررات قانونی و تدوین آییننامه معافیت با توجه به مصالح بازارهای رقابتی و مقتضیات خاص حوزه داراییهای فکری پیشنهاد میشود. | ||

بررسی تطبیقی نشان داد این محدودیتها در سه نظام حقوقی مظنون به داشتن آثار ضد رقابتی هستند و در صورتی که اثر سوء عمدهای بر رقابت بگذارند یا توسط بنگاههای دارای موقعیت مسلط آثار حذفگرایانه داشته باشد. در تنافی با قواعد رقابتی قرار میگیرند و زمانی که واجد تبعات مثبت در عرصه رقابت، توسعه فنّاوری و ارتقای نوآوری باشد، تردیدی در مشروعیت این محدودیتها وجود ندارد. در حقوق آمریکا و اتحادیه اروپا، رویکرد اثر محور مبتنی بر تحلیل اقتصادی معامله انحصاری اتخاذ شده است و در پرتو قاعده معقولیت، مشروعیت یا بیاعتباری آن احراز میشود. در حالی که در حقوق رقابت ایران توجهی به معاملات انحصاری نشده، اما میتوان این ترتیبات را از چند بند ماده ۴5 (ق.ا.س.ک).ا استنباط کرد. مقنن معاملات انحصاری مخل رقابت را با اتخاذ رویکرد شکلگرا و بدون توجه به اثرات رقابتی و اقتصادی به ویژه در عرصه بازارهای مالکیت فکری، ضدرقابتی و فاقد اعتبار اعلام نموده است. لذا در مواجهه با بازارهای فنّاوری و نوآوری، قواعد ارزیابی معاملات انحصاری نیازمند اصلاح و بازنگری جدی است. بر این اساس، به صورت مشخص برای رفع این خلأ قانونی، پیشنهاد میگردد: ۱. پیشبینی معافیت قانونی از طریق تدوین مقرره معافیت و اصول راهنمای آن با توجه به پیامدهای مثبت این ترتیبات در تحقق کارایی، افزایش رفاه مصرفکنندگان و بهبود بازارهای نوآوری و فنّاوری. ۲. رویههای شمارش شده در مواد ۴۴ و ۴۵ قانون مذکور، تمامی مصادیق تحدیدات عمودی، افقی یا قیمتی، غیرقیمتی را پوشش نمیدهند. اگر معتقد باشیم که حصری بودن مواد با قواعد حقوق رقابت و واقعیتهای بازار همخوانی ندارد، در این صورت رویههای احصا نشده مشروع تلقی میشوند، لیکن اعمال ضدرقابتی جدیدی که به مرور زمان شکل میگیرد را شامل نمیشود. لذا شایسته است مواد مذکور بهگونهای تدوین شوند تا بر تمثیلی بودن اعمال ضدرقابتی دلالت کنند. ۳. قانونگذار برای جلوگیری از تمرکز شدید در بازار و سوءاستفاده از قدرت بازاری تحمیلکنندگان شرط، شایسته است سهم بازاری طرفین را تعیین کند تا با در نظر گرفتن تعداد فعالان بازار و رعایت سقف مقرر، در قلمرو معافیت قرار گیرند.

| As one of the most important vertical restrictions with specific features, exclusive transactions significantly affect competition and consumer welfare in product, technology, and innovation markets. Due to their anti-competitive consequences, these restrictive procedures are among the challenging issues in competition law. Therefore, this article seeks an answer to the question of whether exclusive transactions necessarily violate competition law or imply favorable economic and competitive consequences. In the present article, an attempt has been made to analyze the position of Iran's competition law by studying the legal approaches of the United States and the European Union while explaining the position of exclusive transactions in non-competitive relationships in the three markets of products, technology, and innovation, using a descriptive and analytical way. The findings of the comparative study show that this restrictive procedure in the competition laws of the United States and the European Union is evaluated by the new situation in the field of innovation and technology according to certain criteria and the rule of reason is usually applied to evaluate these limitations and The rule of absolute prohibition is used only in exceptional cases and in the case that exclusive transactions are seriously disruptive to competition. Instead, in Iran's competition laws, there is no explicit reference to exclusive transactions and the dimensions of these restrictions are unclear. However, these restrictions can be briefly inferred from several clauses of Article 45 of the Law on Implementing General Policies of Principle (44) of the Constitution. Therefore, it is suggested that the legal provisions be amended and the exemption regulations developed according to the interests of competitive markets and the specific requirements of the intellectual property field. | ||
